  • Rosewood Villa HoldCo LLC was the 100% owner and sole member of Rosewood Villa OpCo LLC (RV OpCo), which held the operating license, and Rosewood Villa PropCo LLC (RV PropCo), which was the borrower and real estate owner of the Rosewood Villa.

  • Proceeds were used to purchase membership interests in RV OpCo and RV PropCo.

  • Returns were anticipated to have been generated primarily from the cash flow during the 5-10-year anticipated holding period and the projected sale of the property.

Rosewood Villa HoldCo LLC, (the “Issuer,” “The Company,” “the SPV,” or “Rosewood Villa HoldCo”) issued $2,550,000 in preferred membership interests (the “Equity” or “Securities”) to purchase membership interests in two companies which own and operate the assisted living facility.
